Türkiye–U.S. M&A Daily Brief — October 30, 2026
Yıldız Holding signs definitive agreement for its U.S. acquisition; USTR issues preliminary Section 301 determination; Q4 deal pipeline accelerates.
This brief reviews developments from October 19 through October 30, 2026 and sets out what to watch for the remainder of Q4. It follows our October 10 week-end review.
Yıldız Holding signs definitive agreement for U.S. acquisition
On October 28, Yıldız Holding signed a definitive agreement to acquire a controlling interest in a U.S.-based snacks and confectionery manufacturer, the transaction its advisors had been preparing since the due diligence phase we reported in our October 6-10 review. The parties have not yet publicly named the target, citing regulatory review considerations.
Key points on the transaction:
- HSR filing was made on October 21, within the two-week window we flagged earlier this month.
- Initial regulatory review period runs through late November, with a second request considered unlikely based on the transaction's size relative to the relevant market.
- Closing is targeted for mid-December 2026, keeping the deal inside the Q4 2026 window management had guided to.
For Turkish acquirers, the transaction is a reminder that the gap between exclusivity and signing is where most deal value is won or lost: regulatory strategy, financing structure, and integration planning must be sequenced before signing, not after.
USTR issues preliminary Section 301 determination
On October 26, the U.S. Trade Representative issued the preliminary determination in the Section 301 investigation we previewed in mid-October, finding that certain Turkish digital trade and local-content measures burden or restrict U.S. commerce. The determination opens a public comment period and does not yet impose any tariffs.
What Turkish exporters and their U.S. counterparties should understand:
- The comment period runs through mid-November, and interested parties — including Turkish exporters with U.S. customers — may file submissions.
- A final determination is not expected before Q1 2027, and any resulting action would follow a separate process with its own notice and comment cycle.
- No current tariff change applies to Turkish goods on the basis of this determination. Companies should resist premature contract repricing and instead review force majeure, tariff-passage, and change-of-law clauses.
Our October brief series has tracked this investigation since its initiation; the preliminary determination is a procedural milestone, not an outcome.
Late-October deal flow: what else moved
- Point72–HubX integration continued on schedule, with the combined engineering organization now co-located across Istanbul and New York. The first joint product release is expected in early Q1 2027.
- Tera Robotik's U.S. robotics platform announced its first post-closing customer expansion into the U.S. Midwest automotive supplier base, validating the acquisition thesis within 90 days of closing.
- Ecolab reported continued hyperscale data center momentum, with two further thermal management contract signings in October bringing the post-CoolIT total to seven.
- Ondas Holdings paused its acquisition run in late October to focus on integrating its four recent defense acquisitions — a signal worth reading: even the most aggressive platform builders consolidate before their next buy.
Key takeaway
The structural acceleration in Turkish-U.S. M&A that defined Q3 2026 has carried into Q4 with its largest transaction to date now signed and pending regulatory clearance. For the remainder of Q4, watch the Yıldız Holding review timeline, the Section 301 comment period, and year-end closing congestion — December deal calendars on both sides of the Atlantic are filling quickly.
