Yıldız Holding signs letter of intent for U.S. snack brand acquisition

Yıldız Holding confirmed on October 4 that it has signed a non-binding letter of intent to acquire a U.S. regional snack food brand with annual revenues of approximately $520 million. The target, which has not been publicly identified, operates in the salty snacks and better-for-you snack categories with distribution across the eastern United States. The indicative transaction value is approximately $1.1 billion, representing approximately 2.1x revenue.

This is the most significant Turkish outbound M&A transaction announced in 2026 and would be Yıldız's largest U.S. acquisition since Godiva. The LOI signing moves the transaction from the exploration phase to the due diligence and negotiation phase, with a definitive agreement expected in Q4 2026 if due diligence is satisfactory.

Key transaction considerations include: HSR Act filing requirements (the transaction value exceeds the 2026 HSR threshold of approximately $119 million); CFIUS review (Yıldız's acquisition of a U.S. consumer food brand is unlikely to raise national security concerns, but the Turkish government's ownership interest in Yıldız through its pension fund holdings may warrant a voluntary filing assessment); the treatment of the target's existing retail distribution agreements and co-manufacturing arrangements; and the integration of the target's U.S. workforce under a Turkish parent company structure.

The transaction will also require careful attention to the competitive dynamics between the acquired snack brand and Yıldız's existing U.S. operations through Godiva. While the product categories are different, the retail channel relationships and marketing infrastructure may overlap.

Blackstone–Brookfield Kuwait pipeline: first distribution announced

The Blackstone–Brookfield consortium announced the first quarterly distribution from its Kuwait petroleum pipeline investment on October 3. The distribution of approximately $85 million represents a 4.8% annualized yield on the consortium's $4.2 billion investment. The distribution reflects the pipeline's stable, contracted cash flows from Kuwait Petroleum Corporation's long-term throughput commitments.

Altaris life sciences platform announces first add-on acquisition

Altaris Capital Partners announced the first add-on acquisition for its Clarivate life sciences platform on October 4. The target, a U.S.-based provider of regulatory intelligence and submission management software for pharmaceutical companies, was acquired for approximately $180 million. The acquisition adds regulatory affairs software capabilities to the platform's existing pharmaceutical intelligence and clinical trial data businesses.

Key takeaway

The Yıldız Holding LOI signing is the most significant Turkish-U.S. M&A development of Q4 2026 to date and signals that the transaction is moving toward a definitive agreement. Turkish companies and advisors should monitor the HSR filing timeline and any CFIUS considerations as the transaction progresses.
