As of 8:00 a.m. EDT / 3:00 p.m. Türkiye time on September 17, 2026. This brief reviews developments from September 16 through September 17.

Yıldız Holding explores U.S. snack brand acquisition

Yıldız Holding, the Turkish consumer goods conglomerate and owner of Godiva Chocolatier and Ülker, is reported to be in early-stage discussions with advisors regarding the potential acquisition of a U.S. regional snack food brand with annual revenues of approximately $400–600 million. No definitive agreement has been signed, and the company has not made a public announcement. The potential target operates in the salty snacks and better-for-you snack categories.

If the transaction proceeds, it would represent Yıldız's most significant U.S. consumer goods acquisition since its 2007 acquisition of Godiva from Campbell Soup. The strategic rationale is consistent with Yıldız's stated ambition to expand its U.S. consumer goods footprint beyond the premium chocolate category into mainstream snack segments.

Key considerations for a transaction of this type include: HSR Act filing requirements if the transaction value exceeds the applicable threshold; the treatment of the target's existing retail distribution agreements and co-manufacturing arrangements; brand licensing and trademark ownership; and the integration of the target's U.S. workforce under a Turkish parent company structure. Yıldız's existing U.S. operations through Godiva provide a platform for integration, but the operational and cultural differences between a premium chocolate brand and a mainstream snack business are significant.

Lone Star Funds completes ContiTech acquisition

Lone Star Funds completed its acquisition of ContiTech AG, Continental's industrial rubber and plastics technology division, on September 16. The transaction, valued at approximately €1.8 billion, separates ContiTech from Continental's automotive technology businesses and creates a standalone industrial materials platform.

ContiTech's product portfolio includes conveyor belts, hoses, vibration control systems, and industrial sealing solutions serving mining, energy, agriculture, and manufacturing markets globally. The acquisition gives Lone Star a diversified industrial materials platform with significant aftermarket service revenue. Post-closing integration should address the separation of shared services from Continental, the treatment of ContiTech's existing supply agreements with Continental's automotive businesses, and the management of ContiTech's global manufacturing footprint across 45 countries.

CoreCivic signs DHS detention facility expansion agreement

CoreCivic, the private prison and detention facility operator, signed a contract modification with the Department of Homeland Security on September 16 to expand capacity at three existing immigration detention facilities by a combined 3,200 beds. The contract modification is valued at approximately $890 million over five years.

The expansion reflects the continued growth in immigration enforcement activity and the federal government's reliance on private detention operators to provide surge capacity. CoreCivic's contracts with DHS are subject to annual appropriations and can be modified or terminated for convenience, creating revenue uncertainty that investors should factor into their analysis of the company's long-term earnings visibility.

Key takeaway

The Yıldız Holding U.S. snack exploration is the most strategically significant Turkish outbound M&A development of the current review period, though no definitive agreement has been signed. The Lone Star–ContiTech and CoreCivic–DHS transactions reflect continued private equity activity in industrial carve-outs and government services respectively.
