As of 8:00 a.m. EDT / 3:00 p.m. Türkiye time on September 8, 2026. This brief reviews developments from September 6 through September 8.

Vitabiotics completes Prisum Healthcare acquisition in Türkiye

Vitabiotics Ltd., the UK-based vitamins and supplements group, completed its acquisition of Prisum Healthcare, a Turkish consumer health distributor, on September 5. The transaction gives Vitabiotics direct distribution infrastructure across Türkiye's pharmacy and retail channels, replacing an arm's-length distribution arrangement with a wholly owned subsidiary.

The deal illustrates a recurring pattern in consumer health M&A: a brand owner converting a distributor relationship into a controlled subsidiary to capture margin, improve shelf placement, and gain direct market intelligence. Turkish distribution agreements typically contain exclusivity, minimum purchase, and territory provisions that must be carefully unwound or novated on a change of control. Post-closing integration priorities include regulatory re-registration of product licenses under the new entity, employment transfers under Turkish labor law, and alignment of pricing and promotional terms with Vitabiotics' global commercial policy.

Thoma Bravo completes Accelerant take-private

Thoma Bravo completed its acquisition of Accelerant Holdings, a specialty insurance technology platform, on September 5. The transaction was structured as a take-private of the Bermuda-domiciled company. Accelerant operates a risk-exchange model connecting managing general agents with capacity providers, and the platform's data and analytics layer is central to its valuation.

In insurance technology take-privates, regulatory complexity spans multiple jurisdictions simultaneously: Bermuda holding company law, state insurance department approvals in each U.S. state where Accelerant's member companies write business, and Lloyd's market requirements if any syndicates participate. Thoma Bravo's track record in software-intensive financial services suggests the post-closing thesis will focus on accelerating the platform's data capabilities and expanding the MGA network. Minority investors should review the merger agreement's appraisal rights provisions under Bermuda law, which differ materially from Delaware appraisal mechanics.

Pentair completes Taco Group acquisition

Pentair plc completed its acquisition of Taco Comfort Solutions and Taco Group's related HVAC and water businesses on September 6. The transaction, valued at approximately $1.8 billion, adds hydronic heating, cooling, and domestic hot water products to Pentair's water treatment and flow-control portfolio.

The Taco Group businesses are headquartered in Rhode Island with manufacturing in the United States and Europe. The acquisition expands Pentair's exposure to building services and HVAC infrastructure, sectors benefiting from energy-efficiency retrofits and electrification of heating systems. Post-closing integration should address the overlap between Pentair's existing pump and flow-control lines and Taco's hydronic product range, dealer and contractor channel conflicts, and the treatment of Taco's European manufacturing footprint under Pentair's existing European operating structure.

Ondas Holdings completes Dzyne Technologies acquisition

Ondas Holdings completed its acquisition of Dzyne Technologies, a developer of autonomous ground and air systems for defense and security applications, on September 5. Consideration consisted of Ondas common stock and contingent consideration tied to revenue milestones.

Dzyne's product portfolio includes autonomous unmanned ground vehicles and tethered unmanned aerial systems used in perimeter security, force protection, and ISR missions. The acquisition deepens Ondas's defense technology platform alongside its existing railroad automation and drone businesses. Defense technology acquisitions involving autonomous systems require careful review of ITAR and EAR export control classifications, government contract novation requirements, and any existing OTA or SBIR agreements that may restrict assignment.

Key takeaway

The Vitabiotics–Prisum transaction illustrates the distributor-to-subsidiary conversion pattern common in consumer health sectors. The Thoma Bravo–Accelerant, Pentair–Taco, and Ondas–Dzyne transactions reflect continued activity in insurance technology, industrial water, and defense autonomy respectively.
