As of 8:02 a.m. EDT / 3:02 p.m. Türkiye time on September 3, 2026. This brief reviews developments from September 2 through September 3.

Sika completes its acquisition of Akkim

Swiss construction-chemicals group Sika AG completed its acquisition of Türkiye-based Akkim on September 3. The transaction gives Sika full control of Akkim's adhesives and sealants business, including manufacturing facilities in Türkiye and Romania and a distribution network spanning Eastern Europe, Central Asia, the Middle East, and North Africa. The purchase price was not disclosed; Akkim reported approximately CHF 220 million in 2025 net sales.

The transaction perimeter extends beyond a Turkish target's domestic operations. Manufacturing capacity in Romania and a multi-country distribution network require coordinated post-closing integration across corporate, tax, employment, commercial, and IP workstreams. Akkim's proprietary formulations and R&D capabilities are material value drivers independent of its physical facilities.

Post-closing priorities include allocation of Akkim brand and formulation IP within the Sika group, integration of Türkiye and Romania production into Sika's supply chain, and change-of-control provisions in distributor agreements. Manufacturing permits, environmental obligations, and product-liability exposures should be separated carefully between the SPA indemnity framework and ongoing operations. Transfer-pricing arrangements also require early attention as group operations become integrated.

Bulls Girişim–Sekuro Plastik advances to the SPK stage

Bulls Girişim Sermayesi Yatırım Ortaklığı A.Ş. has progressed its proposed acquisition of 27.18% of Sekuro Plastik Ambalaj Sanayi A.Ş. to the Capital Markets Board of Türkiye (SPK) stage. The buyer plans to acquire 51,000,000.50 unlisted Sekuro shares from Murat Hakan Çil under an August 10 SPA for $7.77 million. On September 2, the parties applied for approval of the share-sale information form. The transfer has not yet closed.

Because the shares will be transferred off-exchange, the filing must be considered under the Share Communiqué and the SPK's August 28 principle decision. A 27.18% economic interest does not automatically confer control. Board nomination rights, voting privileges, veto rights, and acting-in-concert arrangements could materially change the control analysis.

The transaction may also be significant as a listed-company transformation platform. Bulls has previously indicated that it is considering redirecting Sekuro toward technology, software, energy, or other higher-value sectors. After SPK approval, the parties should update the cap table and reassess mandatory tender-offer, control, governance, and material-transaction implications. A substantial change in Sekuro's business could require a separate package of articles amendments, shareholder approvals, related-party analysis, and future acquisition documentation.

Koç/Temel Ticaret–Tüpraş block sale: transaction date

September 3 is the planned trade date for Koç Holding and Temel Ticaret ve Yatırım A.Ş.'s sale of approximately 0.83% of Tüpraş to Merrill Lynch International. The aggregate consideration is stated as TRY 6,159,670,929.50 at TRY 384.50 per TRY 1 nominal-value share, with settlement planned for September 7.

The transaction is not a control M&A deal, but it remains a notable cross-border block placement involving a Bank of America group affiliate. Koç Holding and Enerji Yatırımları are expected to retain about 50.1% collectively, while free float is expected to rise to about 49.7%. The distinction between trade date and legal/economic completion matters: cash and share settlement are not expected to be complete until September 7. As the control margin narrows, every future disposal should be tested separately for control, consolidation, and tender-offer consequences.

Alves Kablo: liquidity pressure and creditor-workout preparation

Alves Kablo Sanayi ve Ticaret A.Ş. disclosed that it did not make a TRY 309,684,934 lease-certificate payment due August 28, consisting of TRY 260 million principal and approximately TRY 49.685 million periodic return. The company has also deferred approximately TRY 2.761 billion of investment expenditure and reduced personnel by 68 employees.

On September 2, Alves established a process for discussions with banks, financial institutions, KT Sukuk Varlık Kiralama, and certificate investors. Measures include a 13-week liquidity plan, accelerated receivables collection, faster inventory conversion, and deferral of non-essential investment.

This is not an announced concordat or insolvency process, but it is a concrete liquidity-restructuring and creditor-workout situation. Immediate legal work should map cross-default, acceleration, covenant, and security provisions across financing documents. Any standstill or maturity-extension process should be paired with weekly validation of the 13-week cash plan and a clear protocol on how new cash is allocated among creditor groups. Workforce reductions and deferred investment can reduce costs, but disruption to customer orders could worsen liquidity pressure.

U.S. transaction developments

PlusAI and Texas Ventures Acquisition III sign de-SPAC agreement

Plus Automation Inc. (PlusAI) and Texas Ventures Acquisition III Corp. signed a definitive business-combination agreement on September 3. The autonomous-trucking and physical-AI company has an implied pre-money valuation of approximately $800 million. The transaction could provide up to approximately $300 million of capital, including more than $60 million of committed financing and roughly $236 million held in the SPAC trust.

PlusAI develops the Level 4 autonomous-trucking system SuperDrive and operates autonomous freight routes in Texas with Ryder and International. It targets commercial series-production launch in 2027. This is a de-SPAC and growth-financing transaction, not a conventional company sale. Its practical value depends less on the headline trust amount than on redemptions and the certainty of committed financing at closing.

Minimum-cash conditions, redemption risk, PIPE or other committed-financing certainty, sponsor dilution, and Nasdaq listing requirements should be central to the merger-agreement review. Autonomous-vehicle diligence and SEC disclosure should also cover product liability, state-by-state operating permissions, accident data, OEM IP arrangements, and safety validation of AI software.

Vertiv offers up to $2.6 billion for Utility Innovation Group

Vertiv Holdings Co. agreed to acquire Utility Innovation Group (UIG), a provider of microgrid controls, specialized switchgear, and behind-the-meter power architecture for data centers. The deal includes approximately $1.45 billion in upfront cash and up to $1.15 billion in contingent consideration, for potential aggregate value of $2.6 billion. Closing is expected in the fourth quarter of 2026.

UIG's capabilities would complement Vertiv's data-center power and cooling products. The strategic logic is to shorten time to operation by combining onsite generation, storage, and utility power before full grid connection is available. The significant contingent consideration leaves a substantial portion of future performance risk with sellers.

Earnout drafting must define EBITDA accounting policies, allocation of shared costs after integration, and treatment of revenue from Vertiv cross-selling. Utility interconnection, generation permits, switchgear IP, and change-of-control provisions in data-center customer agreements should be distinct diligence streams.

Diversified Energy acquires Birch Permian Holdings

Diversified Energy Company agreed to acquire Birch Permian Holdings and affiliates from Elliott Investment Management-linked funds for approximately $1.8 billion. The transaction is expected to be financed principally through an approximately $1.5 billion asset-backed securitization arranged by Carlyle. It includes a $50 million break fee and targets a fourth-quarter 2026 closing.

Birch adds about 68,000 boe per day of production and about 46,000 net mineral acres. Diversified expects the deal to increase production by approximately 35% and adjusted EBITDA by approximately 55%. The acquired PDP energy assets also serve as collateral for acquisition financing, making alignment between the acquisition agreement and ABS documents essential.

Reserve reports, commodity hedges, title defects, and minimum-collateral-coverage standards should be consistent across transaction and financing documents. Mineral title, plugging and reclamation liabilities, methane and emissions obligations, and hedging transfer merit particular attention. The break fee should be tested against defined financing and regulatory failure scenarios.

American Healthcare REIT buys eight senior-housing communities

American Healthcare REIT Inc. completed approximately $696 million of acquisitions for eight Class A senior-housing communities in six U.S. states, totaling 867 units. LCB Senior Living will be the new operating partner. AHR secured a ten-property opportunity but acquired the eight assets meeting its investment criteria and coordinated transfer of two other assets to another institutional investor.

This is a multi-seller portfolio acquisition coupled with an operator relationship, rather than a traditional corporate M&A deal. Each property requires separate title, mortgage, zoning, assisted-living licensing, and environmental analysis. The management agreement with LCB should align performance standards, termination rights, and capex obligations with the property-acquisition documents.

Equity Bancshares agrees to acquire Lincoln Bancorp

Equity Bancshares Inc. agreed to acquire Lincoln Bancorp and Lincoln Savings Bank for approximately $123.8 million. Consideration is expected to be approximately 77.5% Equity shares and 22.5% cash. Lincoln has approximately $1.7 billion in assets. After closing, Lincoln Savings Bank would merge into Equity Bank, adding 16 branches to Equity's Iowa network and creating pro forma assets of approximately $9.1 billion. Closing is expected in the fourth quarter of 2026.

The mixed share-and-cash consideration preserves sellers' economic participation in the combined bank while limiting the buyer's cash requirement. Bank regulatory approvals, CRA, BSA/AML, loan-portfolio quality, deposit concentration, and core-banking migration are key workstreams. The merger agreement should state clearly whether the exchange ratio is fixed or floating and who bears market-price risk.

Key takeaway

The period's clearest Türkiye M&A closing is Sika–Akkim, a multi-jurisdictional industrial integration that combines Turkish and Romanian production with a broad regional distribution network. Bulls–Sekuro remains at a regulatory pre-closing stage, while the Koç–Tüpraş block sale proceeds toward settlement. In the United States, PlusAI, Vertiv–UIG, Diversified–Birch, and the senior-housing and banking transactions show how financing certainty, contingent consideration, regulated approvals, and operational integration shape modern deal execution.
