As of 7:57 a.m. EDT / 2:57 p.m. Türkiye time on September 6, 2026. This brief reviews developments from September 5 through September 6.

Momentum Girişim signs to acquire a 55% interest in Rona Boya

Momentum Girişim Holding A.Ş., a wholly owned subsidiary of US Yatırım Holding A.Ş., signed a share transfer agreement on September 4 to acquire 55% of Rona Boya Sanayi ve Ticaret A.Ş. for TRY 105 million. Legal transfer and registration processes remain ongoing. The price was set using İnvestAz Yatırım Menkul Değerler' independent valuation dated July 28, 2026, with an 11.69% discount applied to the valuation result.

The transaction gives Momentum an economic majority in a textile-chemicals, paint, and industrial-manufacturing company. It is a control-oriented acquisition rather than a passive minority investment. Still, the target's articles of association and any shareholders' agreement must be reviewed before reaching a definitive conclusion on control: board appointment rights, vetoes, and reserved matters can materially alter the governance result.

Closing diligence should cover paint and chemical manufacturing permits, environmental obligations, occupational health and safety, REACH and chemical compliance, raw-material supply agreements, customer concentration, brand and formulation IP, and historic tax liabilities. If the seller retains 45%, the shareholders' agreement should address board composition, deadlock, capital calls, related-party transactions, dividends, drag/tag rights, and exit arrangements in detail.

Crossroads Automotive completes Bartow Ford acquisition

North Carolina-based Crossroads Automotive Group completed its acquisition of Bartow Ford in Florida and announced the transaction on September 5 at 2:00 p.m. Eastern Time. The purchase price was not disclosed. The acquisition gives Crossroads an entry into the Florida market, while the new ownership plans to retain much of Bartow Ford's existing workforce and local operating model.

In U.S. dealership M&A, value extends beyond land, buildings, and vehicle inventory. OEM franchise rights, the regional customer base, service and parts income, and manufacturer incentives are important operating assets. The Ford franchise and dealer agreement should be tested for change-of-control and manufacturer-consent requirements, alongside Florida dealer licensing, floor-plan financing, closing inventory valuation, warranty and service obligations, and whether real estate is included in the deal perimeter. Working-capital and vehicle-inventory true-up mechanics are frequent sources of dispute in dealership purchase agreements.

Significant U.S. closings not covered in prior briefs

Williams completes the Momentum Midstream transaction

The Williams Companies Inc. completed its acquisition of Momentum Midstream on September 3 for approximately $5.5 billion. Consideration includes roughly $3.5 billion in cash and assumed debt, plus approximately $2 billion in Williams shares.

The platform adds more than 4,000 miles of pipeline, more than one million acres of dedicated acreage, approximately 6 Bcf per day of gathering capacity, and three take-or-pay pipelines with aggregate capacity of 4.05 Bcf per day. The assets are strategically positioned to move natural gas from the Haynesville region to Gulf Coast LNG terminals, electric generation, and industrial demand.

Value lies not only in the physical pipelines but also in acreage dedications and long-term take-or-pay contracts. Post-closing work should address rights-of-way and easements, producer gathering agreements, take-or-pay obligations, FERC and state permits, environmental and pipeline-integrity obligations, and integration of customer contracts. Because the consideration includes Williams shares, former Momentum holders' lock-up, registration, and resale rights require separate attention.

USA Rare Earth completes Serra Verde acquisition

USA Rare Earth Inc. completed its acquisition of Brazil-based Serra Verde Group on September 3, with the closing announced publicly on September 4. The initially announced transaction value was approximately $2.8 billion. Closing consideration consisted of $300 million in cash and 126,849,307 USA Rare Earth shares.

Serra Verde's Pela Ema mine in Goiás is among the key assets producing four principal magnetic heavy rare-earth elements at scale outside Asia. The transaction combines Brazilian mining operations with processing, metal, and magnet-production activities in the United States, United Kingdom, and France.

This is a critical-supply-chain and national-security transaction as much as conventional mining M&A. It supports diversification of non-China rare-earth supply for U.S. defense, semiconductor, energy, robotics, and data-center sectors. The transaction also involves U.S. International Development Finance Corporation-linked project financing and long-term offtake arrangements. Post-closing integration should coordinate Brazilian mining licenses and environmental permits, DFC financing and security, royalty obligations, offtake agreements, transfer pricing, and new shareholder governance rights. The cash-and-share structure also raises dilution, resale, and registration considerations.

Hawthorn Bancshares completes FSC Bancshares merger

Hawthorn Bancshares Inc. and Hawthorn Bank completed their mergers with FSC Bancshares Inc. and Farmers State Bank, respectively. The holding-company and bank mergers became legally effective on September 3 and were announced as completed on September 4. The initially announced transaction value was approximately $28.3 million, consisting of 413,101 Hawthorn shares and $14 million in cash.

The combined bank will have approximately $2.2 billion in total assets, $1.7 billion in loans, and $1.9 billion in deposits, adding nine branches to Hawthorn's network. This is a two-layer holding-company merger and bank-subsidiary merger, requiring both corporate-law execution and separate bank regulatory and operational conversion work.

Post-closing priorities include purchase-accounting review of the loan portfolio, problem loans, BSA/AML files, deposit accounts, and core-banking migration. Because Farmers customers are expected to move to the new technology platform in the first quarter of 2027, the legal merger and operational merger should not be treated as occurring on the same date.

Key takeaway

No newly signed or closed conventional Turkish-buyer/U.S.-target or U.S.-buyer/Turkish-target control acquisition was identified in this review period. The most instructive current structures are Momentum's 55% acquisition of Rona Boya, where a continuing 45% minority makes shareholders' agreement governance central; Williams–Momentum, where acreage-dedication and take-or-pay contracts carry value alongside physical infrastructure; and USA Rare Earth–Serra Verde, where share consideration, project finance, offtake, and national-security considerations meet in a single transaction architecture.
